These Terms of Service (“Terms”) govern your access to and use of the website themnific.com (“Site”) and all WordPress themes sold or distributed through it (“Products”), operated by Dannci (“we,” “us,” “our”) under the brand name Themnific™.

By completing a purchase on themnific.com — whether as an individual or on behalf of a company or other legal entity — you confirm that you have read, understood, and agreed to these Terms in full. If you do not agree, do not purchase or use any Product.

1. About the Seller

Themnific™ is a solo independent operation developed and maintained by Dannci, based in the Slovak Republic. The Site and its Products are operated by Vergo s.r.o., a single-member limited liability company registered in the Slovak Republic (“the Company”). The trade name Themnific™ and the developer alias Dannci are both operated by Vergo s.r.o. Products are also available through separate third-party storefronts (ThemeForest profiles “Dannci” and “No Fuss Works,” and dannci.com), each operating under their own terms. Purchases made on themnific.com are governed exclusively by these Terms.

2. Merchant of Record

All payments on themnific.com are processed by Lemon Squeezy (a Stripe company), acting as the Merchant of Record. Lemon Squeezy is responsible for billing, payment processing, invoicing, and the collection of any applicable taxes, including VAT for customers in the European Union and other regions where tax collection is required by law. By completing a purchase, you also agree to Lemon Squeezy’s Terms of Service and Privacy Policy, available at lemonsqueezy.com.

We do not store your payment card information.

3. Taxes and VAT

For customers located in the European Union, VAT will be calculated and added to the displayed price at checkout by Lemon Squeezy, based on your billing country. The prices shown on this Site are exclusive of VAT unless otherwise stated. Customers outside the EU may be subject to other local taxes or duties; these are also handled by Lemon Squeezy as Merchant of Record.

You are responsible for ensuring the billing address provided at checkout accurately reflects your location for tax purposes.

4. Products and Pricing

Products are WordPress themes sold at the following price points:

  • Single theme license: $39 or $49 (price is set per theme based on complexity and feature set), one-time payment
  • All-Access Membership: $129 per year, billed as a recurring annual subscription (see Section 7)

All prices are listed in USD, exclusive of applicable taxes. Prices may change at any time; the price you pay is the price displayed at the time of your purchase.

5. License Grant

Subject to these Terms and payment of the applicable fee, we grant you a non-exclusive, non-transferable, non-sublicensable license to use the purchased theme(s) as follows:

  • Single theme license: Install and use the theme on one (1) domain or website you own or manage.
  • All-Access Membership: Install and use any theme from the catalog on one (1) domain per theme while your subscription is active.

You may modify themes for your own use. You may use themes on websites you build for clients, provided each license covers a single client site only. You may not resell, redistribute, or sublicense any theme as a standalone product.

WordPress / GPL Notice

WordPress themes that include PHP code are subject to the GNU General Public License v2 or later (GPL), as required by the WordPress ecosystem. The PHP portions of our themes are released under GPL. Proprietary elements — including but not limited to design assets, CSS, JavaScript, images, and documentation — remain exclusively owned by Dannci and are licensed, not sold, under these Terms.

6. Prohibited Uses

You may not:

  • Redistribute, resell, lease, sublicense, or otherwise transfer any theme or its components to third parties as a product.
  • Use any theme to create a competing theme product or theme marketplace item.
  • Remove or obscure copyright notices, credits, or attribution included in any theme file.
  • Use any theme for purposes that violate applicable law, including but not limited to creating phishing pages, fraudulent websites, illegal marketplaces, spam infrastructure, or any site designed to deceive or harm users.
  • Claim authorship or original creation of any theme or its design.
  • Share, resell, or otherwise grant access to All-Access Membership credentials.

7. All-Access Membership — Subscription Terms

The All-Access Membership is a recurring annual subscription billed at $129 per year (plus applicable taxes).

  • Billing: Your subscription begins on the date of your first payment and renews automatically every 12 months at the then-current price, until you cancel.
  • Cancellation: You may cancel your subscription at any time through your account or by contacting Lemon Squeezy support. Cancellation takes effect at the end of the current billing period. You retain access to the membership until that date.
  • After cancellation: Themes you downloaded during an active subscription may continue to be used on the sites where they were deployed. You will not be able to download additional themes or access future releases after your subscription ends.
  • Catalog changes: We reserve the right to add, update, or retire themes from the catalog at any time. The removal of a theme from the catalog does not entitle you to a refund or compensation.
  • Renewal price: We reserve the right to change the subscription price. Where we do so, we will notify you before your next renewal date. Continued subscription after the renewal date constitutes acceptance of the new price.

8. Refund Policy

We offer a 14-day refund window from the date of purchase for single theme licenses and the initial All-Access Membership payment.

To request a refund, contact us via https://dannci.freshdesk.com/support/home within 14 days of your purchase with your order details. Refunds are processed by Lemon Squeezy and may take several business days to appear depending on your payment method.

Refunds will not be issued:

  • After the 14-day window has passed.
  • For All-Access Membership renewal charges — cancel before your renewal date if you do not wish to be billed for the next period.
  • Where we determine the refund request is being made in bad faith (e.g., downloading themes and immediately requesting a refund).

EU and EEA Consumer Rights: If you are a consumer located in the European Union or European Economic Area, you may have a statutory right of withdrawal from distance contracts within 14 days of purchase. By downloading a digital product, you acknowledge that performance has begun and, where permitted by applicable law, you expressly consent to waiving your right of withdrawal upon download. Your statutory rights under applicable consumer protection law are not otherwise affected by these Terms.

9. Updates and Support

Updates

We may release theme updates from time to time. Updates are not guaranteed on any schedule. Where updates are available, they will be accessible through your account or download portal during any active entitlement period. Single license holders may receive updates at our discretion.

Support

We provide limited email support for issues directly related to theme functionality as delivered. Support is provided on a best-effort basis with no guaranteed response time. Support does not cover:

  • Customization requests beyond the theme’s documented features
  • Third-party plugin compatibility issues
  • Server configuration, hosting, or WordPress core issues
  • Issues arising from modifications you have made to theme files

We are a solo operation. Response times may vary.

10. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALL PRODUCTS AND SERVICES PROVIDED THROUGH THEMNIFIC.COM ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

We expressly disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that themes will be error-free, uninterrupted, or free of bugs or vulnerabilities
  • Warranties regarding compatibility with any specific version of WordPress, hosting environment, plugin, browser, or device
  • Warranties that themes are free from security vulnerabilities or that they will prevent unauthorized access to your website

You assume sole responsibility for evaluating the suitability of any theme for your intended use and for implementing appropriate security measures on your website.

11. Security Disclaimer

WordPress themes are software. Like all software, themes may contain bugs, vulnerabilities, or code that interacts unexpectedly with other components of your site.

We are not responsible for:

  • Any unauthorized access to, hacking of, or compromise of your website, server, or data
  • Phishing attacks, social engineering, or fraud directed at you or your users, whether or not your site uses our themes
  • Malicious code introduced to your site through third-party plugins, hosting environments, or other software operating alongside our themes
  • Data breaches, data loss, or exposure of personally identifiable information resulting from any vulnerability in your site’s full software stack
  • Any security incident arising from your failure to keep WordPress core, plugins, and themes updated
  • Any security incident arising from modifications you or a third party have made to our theme files

You are solely responsible for the security of your website and the data it collects or processes. This includes maintaining regular backups, applying security patches promptly, using reputable hosting, and complying with all applicable data protection laws (including GDPR, or other regulations applicable in your jurisdiction).

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DANNCI / THEMNIFIC™ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, goodwill, or business
  • Costs of substitute goods or services
  • Any harm to your website, its visitors, or third parties
  • Security breaches, hacking incidents, data theft, or phishing attacks
  • Downtime, loss of business, or reputational damage

WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND WHETHER ARISING UNDER CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR ANY PRODUCT PURCHASED HEREUNDER SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE APPLICABLE PRODUCT IN THE 12 MONTHS PRECEDING THE CLAIM.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable Slovak or EU law.

13. Third-Party Components and Assets

Our themes may include or reference third-party components, including open-source libraries, fonts (e.g., Google Fonts), icon sets, or stock imagery. Such components are subject to their own licenses and terms. We do not warrant that third-party components are free of vulnerabilities, bugs, or licensing restrictions.

You are responsible for ensuring that your use of any third-party components included in our themes complies with their respective licenses.

14. Intellectual Property

All themes, designs, code (excluding GPL-licensed PHP portions), documentation, and branding materials are the intellectual property of Dannci. “Themnific™” is a trademark of Dannci. Unauthorized use of the brand name, logo, or any proprietary theme assets outside the license granted herein is prohibited.

If you believe any content on the Site infringes your intellectual property rights, contact us at https://dannci.freshdesk.com/support/home with a description of the alleged infringement and supporting documentation.

15. Privacy

Our collection and use of personal data is governed by our Privacy Policy. By using the Site, you consent to the practices described therein. We do not sell personal data.

Purchases are processed by Lemon Squeezy; please refer to their Privacy Policy for information on how your payment and billing data is handled.

16. Termination

We reserve the right to suspend or terminate your access to Products and/or your account at our discretion, with or without notice, if we determine you have violated these Terms. Upon termination for cause, no refund will be issued and any outstanding subscription will be cancelled without compensation.

17. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Slovak Republic, without regard to its conflict-of-law provisions.

Any dispute arising out of or in connection with these Terms or any Product shall be subject to the exclusive jurisdiction of the competent courts of the Slovak Republic.

EU Consumer rights: If you are a consumer resident in the European Union, you retain any rights afforded to you under the mandatory consumer protection laws of your country of residence. Nothing in these Terms is intended to limit those rights. You may also use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr to seek resolution of a dispute.

18. Changes to These Terms

We may update these Terms at any time. The “Last updated” date at the top of this page reflects the most recent revision. Continued use of the Site or Products after an update constitutes acceptance of the revised Terms. For material changes — including changes to subscription pricing — we will make reasonable efforts to notify active customers by email before the change takes effect.

19. Severability

If any provision of these Terms is found to be unenforceable, it will be modified to the minimum extent necessary to make it enforceable. The remaining provisions continue in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dannci regarding Themnific™ products and supersede any prior agreements, representations, or understandings.
